These Terms of Service (“Terms”) govern your access to and use of the Medex Grand Pharmaceuticals Limited (Orchid) website, store, and related services (collectively, the “Services”). By visiting, using, or purchasing through the Services, you agree to these Terms and our Privacy Policy ([LINK]).

1) Who We Are & How the Services Work

Medex Grand Pharmaceuticals Limited (Orchid) (“Medex,” “we,” “us,” “our”) operates this online store and any related features, content, and tools. Our ecommerce platform is Shopify, which hosts and supports our storefront technology. All sales are with Medex, not Shopify.

2) Eligibility & Accounts

  • You confirm you are at least the age of majority in your state/province/country, and you consent to minors using devices you own/manage.

  • You may need to provide information (e.g., name, email, billing/shipping, payment). You warrant the information is accurate, current, and complete and that you have rights to provide it.

  • You’re responsible for account credentials and all activity on your account. Do not sell, transfer, or license your account.

3) Product Information & Professional Use

  • We strive for accurate product descriptions; however, colors, packaging, and appearance can vary by device and batch.

  • Healthcare products may change (e.g., packaging/leaflets or NAFDAC updates). We may modify or discontinue products at any time.

  • No medical advice. Content on the Services is informational only and not a substitute for professional medical advice, diagnosis, or treatment. Always consult a licensed healthcare professional, and use medicines as directed.

  • Prescription (“Rx”) products: We will dispense only with a valid prescription from a licensed practitioner and may request verification, refuse, or limit quantities for safety or compliance.

4) Orders & Acceptance

  • Your order is an offer to buy. We may accept or reject any order at our discretion (including for suspected fraud, supply issues, regulatory concerns, or pricing errors).

  • An order is accepted only when we confirm and process payment. If we cancel or adjust an order, we’ll try to notify you via the contact details you provided.

  • Purchases are for personal/household use only and not for resale or export.

  • Returns/exchanges are governed by our Refund & Return Policy ([LINK]).

5) Pricing, Taxes & Billing

  • Prices, promotions, and discounts may change without notice. The price at checkout is the price that applies.

  • Unless stated otherwise, prices exclude taxes, shipping, handling, customs, or import charges.

  • You agree to provide current and accurate payment details and authorize us (and our payment processors) to charge your payment method for your order and any applicable amounts.

  • We may cancel orders for pricing or availability errors; if already charged, we’ll refund you.

6) Shipping, Delivery & Risk of Loss

  • Any delivery timeframes are estimates, not guarantees. Delays can occur (e.g., courier, customs, weather).

  • Title and risk of loss pass to you once we hand over to the carrier or, for in-store pickup, when the order is collected.

  • Inspect packages on delivery and report damage/shortage promptly (see Section 12 and the Refund Policy).

7) Safety, Regulatory & Pharmacy Compliance

  • Medex complies with applicable Nigerian laws and regulations (including NAFDAC guidelines) and professional standards.

  • We may limit quantities, verify identity/prescriptions, or refuse sale where safety or legal compliance requires.

  • Cold-chain/temperature-controlled items must be handled according to instructions. We may decline returns where safety cannot be guaranteed (see Refund Policy).

  • Keep medicines out of reach of children. Read labels/leaflets carefully.

8) Intellectual Property

  • All content in/on the Services (text, graphics, images, logos, trademarks, videos, design, and arrangement) is owned by Medex or its licensors and protected by law.

  • You may use the Services for personal, non-commercial purposes. Do not copy, modify, distribute, display, perform, or make derivative works without prior written consent.

  • Trademarks, logos, and product names are the property of their respective owners. You may not use Medex or Shopify marks without written permission.

9) Third-Party Tools & Links

  • We may provide access to third-party tools or link to third-party sites. We do not control or endorse them and are not responsible for their content, availability, or policies.

  • Your use of third-party tools/sites is at your own risk. Review their terms and privacy notices.

10) Relationship with Shopify

Medex is powered by Shopify, but Shopify is not a party to your purchases and has no liability for your transactions with us. You release Shopify and its affiliates from claims arising out of your purchases from Medex.

11) Privacy & Data

  • Our handling of personal data is described in our Privacy Policy ([LINK]).

  • Because Shopify hosts our store, Shopify may process your data to run and improve the platform; see Shopify’s Privacy Policy ([LINK]).

  • By using the Services, you consent to transfers and processing of your data in and outside your country as described in those policies.

12) Damages, Issues & Returns (Summary)

  • Check your order upon delivery/collection. If damaged, incorrect, or defective, contact accounting@medexgrand.com within 48 hours with photos and order details.

  • Returns/exchanges follow our Refund & Return Policy ([LINK]). For safety, certain categories (e.g., prescription medicines, opened medical/sexual-wellness items, cold-chain goods) are non-returnable.

13) Prohibited Uses

Do not use the Services to: break laws; infringe IP; harass or harm others; misrepresent identity; transmit malware/spam; scrape or mine data; try to breach security; or otherwise interfere with the Services. We may suspend or terminate access for violations.

14) Termination

We may suspend or terminate your access (in whole or part) at any time, including for fraud, non-payment, or policy breaches. You remain responsible for amounts due up to termination. Sections intended to survive (e.g., IP, disclaimers, limitations, indemnities, governing law) survive termination.

15) Disclaimer of Warranties

Except where prohibited by law or expressly stated by us in writing, the Services and all products are provided “as is” and “as available.” We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that product information is complete or current. You use the Services at your own risk.

16) Limitation of Liability

To the maximum extent permitted by law, Medex (and our directors, officers, employees, agents, contractors, service providers, and licensors) shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, goodwill; replacement costs; or similar losses arising from or related to the Services or products, even if advised of the possibility. Our aggregate liability for direct damages shall not exceed the amount you paid for the product(s) giving rise to the claim.

17) Indemnification

You agree to indemnify and hold harmless Medex and our affiliates, officers, directors, employees, and agents from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your (a) breach of these Terms or policies, (b) violation of law or third-party rights, or (c) misuse of the Services.

18) Errors & Corrections

We may correct errors, inaccuracies, or omissions (including pricing, availability, shipping charges, and transit times) and cancel orders affected by such errors, at any time without prior notice. If you were charged, we will refund you.

19) Force Majeure

We are not liable for delays or failure to perform due to events beyond our reasonable control (including acts of God, strikes, labor disputes, shortages, war, terrorism, civil disorder, embargoes, government orders, epidemics/pandemics, infrastructure or utility failures).

20) Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms without notice.

21) Governing Law & Venue

These Terms are governed by the laws of the Federal Republic of Nigeria. You agree to the exclusive jurisdiction and venue of the courts of Lagos State, Nigeria (subject to any mandatory consumer-protection forum rights under applicable law).

22) Headings; Entire Agreement; No Waiver

Headings are for convenience only. These Terms (plus policies referenced) constitute the entire agreement between you and us. Our failure to enforce a provision is not a waiver of that provision.

23) Changes to These Terms

We may update these Terms by posting a revised version on this page with a new “Effective Date.” Material changes will be notified where required by law. Your continued use after changes means you accept the updated Terms.
